Draft pending legal review

This document was prepared from Ventry’s stated business model and has not been reviewed by a lawyer. Because Ventry holds client funds and collects government-issued IDs, have a Philippine lawyer review it before launch. Fields marked in purple need your real details filled in.

Who we are

Ventry is operated by Ventry Corporation, a company registered in the Republic of the Philippines, with its registered office at [registered business address] and SEC registration number [SEC reg. no.].

In these terms, “Ventry”, “we”, “us” and “our” mean Ventry Corporation. “You” means the person using our app or website, whether as a client, a supplier or an organizer.

By creating an account or booking through Ventry, you agree to these terms. If you do not agree, please do not use the service.

What Ventry is and is not

Ventry is a marketplace. We connect people planning events with the organizers and suppliers who deliver them, and we provide the booking, messaging and payment tools that sit around that relationship.

We are not the party that performs your event services. When you book a caterer, photographer, stylist or coordinator through Ventry, the service contract is between you and that vendor. We are not their employer, agent or partner, and we do not control how they run their business.

What this means in practice: we verify vendors before they go live and we hold your payment until your event is done, but the quality, timing and delivery of the service itself is the vendor’s responsibility.

Eligibility and accounts

You must be at least 18 years old to use Ventry. If you are creating an account for a business, you confirm you are authorised to act for it.

You agree to give accurate information when you register and to keep it current. You are responsible for anything that happens under your account, so keep your login details private and tell us promptly at support@ventry-app.com if you think someone else has access.

One person or business should hold one account. Creating additional accounts to avoid a suspension, inflate ratings or evade fees is a breach of these terms.

Booking as a client

Browsing, messaging and booking on Ventry are free for clients. You pay only for the package you book.

When you send a booking request, you are making an offer to that vendor on the terms shown in the package, including inclusions, add-ons and the total price. A booking becomes binding when the vendor confirms it and your deposit is received.

Before you pay, Ventry shows you a full order summary: the package, each add-on, any travel or out-of-town charge, and the total. If a vendor later asks you for money outside the app for work covered by that summary, please report it to us.

You are responsible for the accuracy of your event brief, including the date, venue, headcount and timing. Changes you make after confirmation may affect the price or the vendor’s ability to deliver.

Payments and escrow

Payments are made in Philippine pesos through the app. You may pay a deposit or the full amount, depending on what the vendor offers.

Money you pay is held in escrow from the moment the booking is confirmed. It is not forwarded to the vendor at that point. Funds are released to the vendor after your event has taken place, subject to the cancellation and dispute rules below.

Payment processing is handled by [payment provider]. Their terms apply to the processing of your card or e-wallet transaction, and we do not store full card details on our systems.

Any balance owed to the vendor beyond the deposit is due as set out in the package terms. Failure to pay a balance when due may allow the vendor to cancel without refunding your deposit.

Listing as a supplier or organizer

Suppliers provide individual services such as catering, photography, floral design, styling, and sound and lights. Organizers build packages and coordinate whole events. Either may list on Ventry after verification.

If you list on Ventry, you agree that:

  • Your listings, portfolio images and pricing are accurate and your own, and you hold the rights to any images you upload.
  • You hold the permits, licences and insurance your service requires under Philippine law and local ordinance.
  • You will honour confirmed bookings at the agreed price and on the agreed date.
  • You will keep your calendar and availability current.
  • You will communicate through the app so that booking history stays complete.

You remain an independent business. Nothing in these terms creates an employment, agency, partnership or joint venture relationship with Ventry.

Fees and payouts

There is no upfront listing fee. Ventry charges a service fee of 10% of the booking value, applied only when you receive a confirmed booking. The fee is deducted from the payout.

Payouts are released after the event has been delivered and are sent every Wednesday. A booking completed after a given week’s cut-off is paid in the following cycle.

StageWhat happens
Booking confirmedClient’s deposit is held in escrow. Nothing is released.
Event deliveredBooking is marked complete and the payout is queued.
Next WednesdayPayout is sent to your nominated account, less the 10% service fee.
Dispute raisedRelease is paused until the dispute is resolved.

You are responsible for your own taxes, including income tax and any VAT or percentage tax that applies to your business. Ventry does not withhold these on your behalf unless required by law.

We may change our fees. If we do, we will give you at least [notice period, e.g. 30 days] notice, and the change will not affect bookings already confirmed.

Verification badges

Vendors are reviewed before going live. Badges show how much a vendor has proven:

  • Basic — identity checked and account approved, through government ID validation and phone number verification.
  • Verified — business documents reviewed by Ventry, including DTI or SEC registration and a local business permit.
  • Trusted — fully documented, with at least 10 completed bookings, high review ratings and no disputes.

A badge reflects the documents and booking history we have seen at a point in time. It is not a guarantee of the vendor’s performance on your event, and it is not a warranty by Ventry of their work. We may change or remove a badge if circumstances change.

Cancellations and refunds

You may cancel a booking up to 7 days before the event date under our refund schedule. Because vendors turn away other work once a date is held, cancellations closer to the event may be refunded only in part or not at all.

When you cancelRefund of amount paid
More than 30 days before[e.g. 100%]
14 to 30 days before[e.g. 50%]
7 to 13 days before[e.g. 25%]
Fewer than 7 days before[e.g. no refund]

If a vendor cancels a confirmed booking, you receive a full refund of everything you paid for that booking, and we may apply a penalty to the vendor’s account or standing.

If an event cannot go ahead because of circumstances outside either party’s control — a typhoon, flooding, a government order, or similar — we will work with both sides to reschedule or to agree a fair refund.

Approved refunds are returned to your original payment method. Processing time depends on your bank or e-wallet provider, typically [e.g. 5 to 10 banking days].

Acceptable use

When using Ventry, you agree not to:

  • Take a booking off-platform to avoid the service fee, after making contact through Ventry.
  • Post false, misleading or plagiarised listings, portfolio images or reviews.
  • Impersonate another person or business, or misrepresent your permits or credentials.
  • Harass, threaten or discriminate against another user.
  • Use the platform for anything unlawful, or for any event that would breach Philippine law.
  • Scrape, copy or resell our listings or data, or interfere with the operation of the service.

Circumventing the platform is treated seriously, because escrow protection and dispute support only exist for bookings made through Ventry. A client who pays a vendor directly has none of the protection described in these terms.

Reviews and content

Reviews may only be left by clients who actually completed a booking. Reviews should be honest and based on your own experience.

We do not edit reviews to favour a vendor. We may remove a review that contains abuse, personal information, unrelated complaints, or content that appears fabricated or incentivised.

You keep ownership of the photos, text and other content you upload. By uploading it, you give Ventry a non-exclusive, royalty-free licence to host, display and reproduce it for the purpose of operating and promoting the platform. You can end this licence for future use by deleting the content or your account, though copies may remain in backups for a period.

Disputes between users

If something goes wrong with a booking, raise it in the booking chat first. Most issues are resolved directly between client and vendor.

If you cannot resolve it, contact us at support@ventry-app.com within [e.g. 7 days] of the event date. We will look at the booking record, the chat history and any evidence both sides provide, and we may pause the release of funds while we do.

Where funds are still in escrow, we may decide how they are released. That decision is an operational one about the money we hold; it does not settle the underlying legal dispute between you and the vendor, and it does not prevent either of you from pursuing other remedies.

Our responsibility and limits

We will provide the platform with reasonable care and skill, and we will hold and release escrowed funds as described in these terms.

We are not responsible for the performance of vendors or the conduct of clients, for events that do not meet your expectations, or for losses arising from a booking we are not a party to. We do not guarantee the platform will be uninterrupted or error-free.

To the extent permitted by Philippine law, our total liability to you for any claim connected with a booking is limited to the total amount of the service fee we received on that booking. Nothing in these terms excludes liability for fraud, for wilful misconduct, or for anything that cannot lawfully be excluded, including your rights under the Consumer Act of the Philippines.

Suspension and termination

You may close your account at any time. Closing it does not cancel confirmed bookings or remove obligations already incurred.

We may suspend or close an account if we reasonably believe there has been a breach of these terms, fraud, a risk to other users, or a legal requirement to do so. Where it is appropriate and lawful, we will tell you why and give you a chance to respond.

If we close a vendor account, we will still release payouts properly owed for bookings already delivered, less any amounts in dispute.

Changes to these terms

We may update these terms as the service grows. When we make a material change, we will post the new version here with an updated date and notify you in the app or by email at least [e.g. 14 days] beforehand.

Changes do not apply retroactively to bookings already confirmed. Continuing to use Ventry after a change takes effect means you accept the updated terms.

Governing law

These terms are governed by the laws of the Republic of the Philippines. Any dispute that cannot be resolved between us will be brought before the courts of [e.g. Davao City], without prejudice to any right you have to bring a claim in the appropriate venue under Philippine law.

If any part of these terms is found unenforceable, the rest continues to apply.
